Peru has a solid legal framework that defines how companies should be governed. Shareholders' meetings and general managers are key decision-making bodies, and boards of directors are required only for corporations (S.A.). Publicly traded companies must also comply with the Corporate Governance Code issued by the SMV. What responsibilities do company directors have, and what rules must they follow?
